Terms of Service

These terms cover every engagement with HELMQ — from a $750 Starter Pack to an Enterprise architecture review. By purchasing a package or signing a proposal, you agree to them.

Our Services

HELMQ provides software planning and technical advisory services — architecture design, API and data model documentation, technical roadmaps, fractional CTO work, and technical due diligence — delivered as fixed-scope packages (Starter, Builder, Founder MVP) or custom Enterprise engagements.

Who You're Contracting With

HELMQ is currently operated by an independent technical consultant based in Mexico. HELMQ is not yet incorporated as a company — engagements are contracted directly with the operator under these Terms.

Engagement & Payment

Fixed-scope packages are paid upfront through our checkout before work begins. Enterprise engagements are billed per the terms in your signed proposal. Delivery timelines (e.g. 72 hours for the Starter Pack) start once we have the information we need from you to begin.

Your Responsibilities

You agree to give us accurate, timely information about your product and technical context, and to review deliverables and provide feedback within the timelines we agree on. Delays on your side can delay delivery.

Deliverables & Intellectual Property

Once a package is paid in full, you own the deliverable — architecture docs, roadmaps, API specs, and any other output produced specifically for your project. HELMQ retains ownership of its internal methods, templates, and tools used to produce it.

Confidentiality

Every engagement is covered by a mutual NDA. We treat your product, code, and business information as confidential, and we expect the same about our process and materials.

Refunds & Cancellations

You can cancel and receive a full refund before we begin work on your project. Once work has started, packages are non-refundable, since delivery is scoped and scheduled around your request. Enterprise refund terms are set in the signed proposal.

Limitation of Liability

HELMQ delivers planning, architecture, and advisory work — not a guarantee of business outcomes. We're not liable for indirect or consequential damages, and our total liability for any engagement is capped at the amount you paid for it.

Termination

Either party can end an ongoing engagement (like CTO-as-a-Service) with written notice, as specified in your proposal. Fixed-scope packages run through to delivery once started.

Governing Law

These Terms are governed by the laws of Mexico. Before pursuing any formal claim, both parties agree to first attempt to resolve the dispute directly and in good faith.

Changes to These Terms

We may update these terms as our services evolve. Changes apply to new engagements from the date above; active engagements are governed by the terms in place when you purchased.
